Terms of Service

Mycelian AI, Inc. ("Mycelian", "we", "us", "our") welcomes you to our software and websites, including our privacy‑first macOS application (the "App"). Please read these Terms of Service ("Terms") carefully. By accessing or using our services, you agree to these Terms. If you do not agree, you may not use the services.

We may change these Terms at any time. We use reasonable efforts to inform you of changes. Continued use after changes constitutes acceptance. If you do not accept changes, you must stop using the services; discontinuation does not guarantee any refund of prior payments.

Eligibility

Our services are available to individuals 13 years of age and older. We do not knowingly allow children under 13 to create or maintain an account. By using the services, you represent that you are of legal age to form a binding contract (or have consent from a legal guardian).

License

Subject to these Terms, Mycelian grants you a limited, non‑exclusive, non‑transferable, worldwide right to use the services. You may not resell, sublicense, or transfer your rights to any third party, and you may not reverse engineer the software except as permitted by law.

Beta Software Notice

The App is currently in beta. This means the software is still under active development and may contain bugs, errors, or incomplete features. Beta software may be unstable, cause data loss, or behave unexpectedly. By using beta software, you acknowledge and accept these risks. We make no guarantees about the stability, performance, or reliability of beta releases. Features may change or be removed without notice.

Starter Plan & Limits

We currently offer a single free Starter Plan with the following limits enforced by the App:

• Up to 2 vaults per user profile.
• Up to 5 memories per vault.

Use beyond these limits will require a paid plan once available. These limits may evolve as the product grows; we will use reasonable efforts to provide notice of material changes. Additional plans may be introduced incrementally.

Fair Use & Quota Enforcement

You agree not to circumvent or attempt to bypass plan limits or quotas (e.g., via automated creation of profiles or vaults). We may monitor for abuse of limits locally within the App and may restrict, suspend, or terminate access for violations.

Privacy & Data

The App is designed for on‑device processing. By default, your data does not leave your machine. We do not collect product usage logs or metrics from the App. See our Privacy Policy for details.

Third‑Party Components & Integrations

The App may interoperate with system libraries, local models, or optional third‑party services that you choose to enable. Those third‑party terms and privacy policies govern their handling of data. Enabling such integrations may transmit data to those services.

Security & Responsibility

You are responsible for the security, integrity, storage, backup, and recovery of your data. We do not guarantee the security of any feature and are not liable for loss or damage to data resulting from your use of the services.

Data loss can occur. You are solely responsible for maintaining a secondary copy of your data and performing frequent backups. Mycelian is not responsible for any data loss, corruption, or damage that may occur during use of the App.

Acceptable Use & Misuse

Do not use the services to violate laws, infringe rights, introduce malware, or interfere with others’ use. Intentional misuse—including sharing licenses, unauthorized distribution, or harmful activity—may result in immediate license deactivation.

Accounts & Purchasing

The App does not currently require an account. If we introduce accounts or paid plans in the future, purchasing may involve a compliant third‑party payment processor. Such processing would be governed by our Privacy Policy and the processor’s policies; we will not store payment card details on Mycelian servers.

Updates & Changes

We may update the App, these Terms, or plan limits. Material changes will be reflected by updating the date above and, where appropriate, via in‑product notice. Continued use after changes constitutes acceptance.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON‑INFRINGEMENT, AND ERROR‑FREE/UNINTERRUPTED OPERATION. YOU ARE RESPONSIBLE FOR BACKUPS AND FOR VERIFYING OUTPUT SUITABILITY.

MYCELIAN DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY AI-GENERATED CONTENT, MEMORY RETRIEVAL, OR PROCESSING RESULTS. YOU ACKNOWLEDGE THAT AI SYSTEMS MAY PRODUCE INCORRECT, INCOMPLETE, OR MISLEADING OUTPUT. YOU ARE SOLELY RESPONSIBLE FOR EVALUATING AND VERIFYING ALL OUTPUT BEFORE RELYING ON IT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYCELIAN AND ITS AFFILIATES SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE CLAIM (OR USD $0 IF NO FEES WERE PAID).

Indemnification

You agree to indemnify, defend, and hold harmless Mycelian AI, Inc., its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any content you process through the services.

Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court. You waive any right to a jury trial or to participate in a class action.
